We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our Services after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Description of Services

TrendSpider provides an AI-powered trading analytics platform that offers automated technical analysis, pattern recognition, chart visualization, and related tools for informational and educational purposes. Our Services include:

The specific features available to you depend on your subscription tier and account type. We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. Account Registration and Requirements

To access certain features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information as prompted by the registration form. You are responsible for maintaining the accuracy of your account information and updating it promptly if any changes occur.

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are of legal age to form a binding contract with TrendSpider and that you are not prohibited from using the Services under applicable laws.

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to accept responsibility for all activities that occur under your account. If you become aware of any unauthorized use of your account, you must notify us immediately at [email protected].

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws, or that we believe are being used for fraudulent or illegal purposes.

4. Subscription and Payment Terms

TrendSpider offers various subscription plans, including free and paid tiers. The features included in each plan are described on our pricing page. Paid subscriptions are billed according to the billing cycle you select during registration or upgrade.

All fees are non-refundable except as required by law or as explicitly stated in our refund policy. Subscription fees are subject to change at any time, with notice provided at least 30 days before the change takes effect. Continued use of paid Services after a price change constitutes acceptance of the new pricing.

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period.

You authorize TrendSpider to charge all subscription fees to the payment method you provide. If a payment fails, we may retry the charge and, after multiple failures, suspend your account until payment is received.

5. Acceptable Use and Conduct

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not use our Services:

• In any way that violates applicable local, state, national, or international laws or regulations
• To impersonate TrendSpider, our employees, or other users
• To attempt to gain unauthorized access to any part of our platform, accounts, or systems
• To interfere with or disrupt the integrity or performance of our Services
• To scrape, harvest, or extract data from our platform without authorization
• To distribute malware, viruses, or other harmful code
• To spam, harass, or harm other users
• To use automated systems to access our Services without prior written permission

Additionally, you agree not to reverse engineer, decompile, or disassemble any part of our platform, or attempt to bypass any technological protection measures implemented by TrendSpider.

6. Intellectual Property Rights

TrendSpider and its licensors own all rights, title, and interest in and to our platform, Services, and all related technology, content, materials, and intellectual property. This includes, but is not limited to, our AI algorithms, software code, designs, trademarks, logos, and any content created by TrendSpider.

You are granted a limited, non-exclusive, non-transferable license to use our Services for your personal, non-commercial trading analysis purposes. This license does not grant you any ownership rights in our platform or Services.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software without prior written permission. You may not reverse engineer, disassemble, or decompile our Services except as permitted by applicable law.

Any feedback, suggestions, or ideas you provide regarding our Services become our property without compensation to you. We welcome user feedback but are not obligated to implement or act on any suggestions provided.

7. Third-Party Integrations

Our Services may include integrations with third-party services, including brokerage platforms, data providers, and other applications. These integrations are provided by third parties and are subject to their respective terms of service and privacy policies.

We do not endorse, guarantee, or assume responsibility for any third-party services, their accuracy, completeness, or reliability. Your use of third-party integrations is at your own risk, and you should review the terms and privacy policies of those services before using them.

TrendSpider is not responsible for any actions, errors, or omissions of third-party service providers, or for any losses or damages arising from your use of third-party integrations.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE MAKE NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY ANALYSIS, DATA, OR CONTENT PROVIDED THROUGH OUR SERVICES.

TRADING INVOLVES SUBSTANTIAL RISK, AND OUR SERVICES ARE NOT GUARANTEED TO GENERATE PROFITS OR ACCURATE MARKET PREDICTIONS. ANY DECISIONS YOU MAKE BASED ON OUR SERVICES ARE MADE SOLELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRENDSPIDER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TRENDSPIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless TrendSpider and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your negligent or wrongful conduct

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

11. Termination

We may terminate or suspend your account and access to our Services at any time, without prior notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or non-payment of fees.

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may also terminate your account at any time by contacting our support team or using the account deletion feature in your settings. Upon deletion, your personal data will be handled according to our Privacy Policy.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or your use of our Services shall be resolved exclusively in the state or federal courts located in New York County, New York.

You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claims. Notwithstanding the above, TrendSpider may seek injunctive or other equitable relief in any court of competent jurisdiction.

13. General Provisions

These Terms constitute the entire agreement between you and TrendSpider regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign these Terms without our prior written consent, but we may assign these Terms without notice to you.
